Terms and Conditions
Welcome to Marketopia! Please read through these terms and conditions carefully before inquiring, or requesting any of Marketopia’s services. By accessing, browsing, and/or using this site, you have acknowledged that you have read and accepted the terms and conditions set forth by Marketopia, and agree to its terms and to comply with all applicable laws and regulations. If you do not wish to agree to agree to these terms, please stop using Marketopia.co immediately. This site is protected by law, including, but not limited to, the Republic of Egypt and US Federal laws. These terms and conditions cover all types of services provided by Marketopia, including, but not limited to, Web Development, PPC Advertising, Video Production, Website Hosting, Social Media Advertising and Marketing, and Corporate Branding.
Marketopia reserves the right to change these terms at any moment, and will dutifully notify you of major changes to this statement. The client’s continued use of Marketopia services after the date of modification shall be deemed an acceptance of the modified Terms or agreement, as applicable. Additional or different Terms, conditions and notices may apply to specific websites, information, products, software or services.
The terms ‘Marketopia.co’, ‘us’ or ‘we’ refers to Marketopia. The term ‘you’ or ‘the client’ refers to the user or viewer of our website, and to customers who have requested or have services rendered to them by Marketopia. The term ‘both parties’ refer to Marketopia and the client as a collective.
If the client does not legally agree to this statement, but has requested or has begun a working relationship with Marketopia, the client is required to notify Marketopia and cease all operations and work with us. The client is required to notify Marketopia within (5) days of the start of any services that has been requested by the client to be provided by Marketopia. The client is responsible for any costs until the cancellation procedure is completed. By failing to notify Marketopia of any cancellation according to the terms stated above, the client is stating that they have agreed to all the terms and conditions put forward in this document and statement, and shall be bound by, and abide by, these Terms and Conditions.
Marketopia services may only be used for lawful purposes. Transmission or storage of any information, data or material that may be in violation of any of the Republic of Egypt or U.S. Federal or state regulation or law is prohibited. This includes, and is no limited to, material protected by copyright, trade secret or any other statute, threatening or obscene material. Such materials may be removed at any time upon our discretion. Any contract or agreement between the client and Marketopia may be cancelled at any moment if the client fails to follow and abide by the above mentioned terms.
Marketopia does not endorse any materials that may be offensive, inflammatory or of an adult nature. Marketopia disclaims any and all liability for such content.
Terms of Payment and Deposits
The payable deposit and full payment amounts for services to be provided by Marketopia shall be declared and formally written within the client’s quote, proposal, and agreement documents. The client agrees to pay extra fees for additional expenses, such as the purchase of special fonts, stock photography, and etc. Full payment is due when the work is completed according to the client’s reasonable satisfaction. We reserve the right not to commence any work until the deposit has been paid in full.
The payable deposit is only refundable if we have not fulfilled our obligations to deliver the work required under the agreement. The deposit is not refundable if work has started and you terminate the contract through no fault of ours, or if a conflict has originated between the client and Marketopia that cannot and has not been settled by both parties. For the cancellation of any ongoing contract or agreement, the client must inform Marketopia immediately. The cancellation process, procedure, time and costs will be according to the service(s) provided by Marketopia to the client.
The client hereby agrees to pay the full payable amount for services rendered by Marketopia on the date agreed upon on the applicable agreement or proposal, which is signed and agreed upon by both parties. For Media Production services, the full payable amount is to be paid upon acceptance of the final product. Failure to pay the agreed amount within (10) days of the date established on the applicable agreement or proposal may lead to
Suspension of all services rendered or being rendered by Marketopia until all owed amounts have been paid
Projects may not be delivered, Project licenses may be revoked
Late fees and costs according to service and length of delay
The client is fully responsible for any lateness and delay in payment, and is required to indicate potential delay to Marketopia. Marketopia is entitled to send an email, text message, or call the client to inform them of an upcoming or late payment. An agreement may be made between both parties, if necessary, to delay or push forward the payment date with or without any repercussions. This agreement must be recorded by an official email or document.
Materials Provided (Copyright)
The client retains the copyright of any and all data, files, information, logos, designs and any other material provided by the client to Marketopia. All materials supplied to Marketopia is declared by the client to be truthful, complete, and fully owned by the client. By providing these materials, the client has agreed to give Marketopia limited rights to use and publish these materials. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party they are providing us. The client is responsible for any and all claims resulting from the Client's negligence or inability to obtain proper copyright permissions. Items and materials provided by Marketopia will fall under the same terms, in which the client is not responsible for any and all claims from our negligence or inability to obtain proper copyright permissions. Evidence of permissions and authorities may be requested by Marketopia.
If there is any delay in supplying these materials to us, which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount accordingly. If you fail to supply materials, and that prevents the progress of work, we have the right to invoice you for any part or parts of the work already completed. Simply put, all of the above condition states is to not give us the go ahead to start until you are ready to do so.
Marketopia and any subcontractors we engage for the project/campaign/service agree to not intentionally disclose any confidential or private information provided to us by the client to any third party at any time.
Timelines, timeframes, and estimated time of completion are all dependent upon the client’s full co-operation. Other than providing the necessary materials needed for work to be completed, the client is required to supply a certain amount of feedback during the development and ongoing process. We recommend choosing one person from your business to be your liaison between us, who will often be available to provide us with feedback or pertinent information. This is to speed up the feedback process, helping us to get the work done faster. By working with us, the client understands and agrees that failing to provide feedback in a timely manner may delay or prolong the estimated time of competition of the project/service.
When the work is completed, you will be notified and have the opportunity to review it in full. You must notify us in writing (email, or text SMS) of any unsatisfactory points within (7) days of the notification. Any of the work which has not been reported in writing to us as unsatisfactory within the 7-day review period will be deemed to have been approved. Any calls on this topic must be documented in writing in some manner as well.
If you reject and supply us with the unsatisfactory points of our work within 7 days, we will work on resolving these points as soon as we are able. If you disapprove any of the subsequent work performed by us to remedy any points noted as being unsatisfactory on multiple occasions with or without reason, we, acting responsibly and through rational thought, may deem that you are being unreasonable in any form of your rejection. If this is so, we may decide to treat the contract and agreement as completed, and will require the full payment acknowledged by both parties in the applicable document, agreement, and/or contract.
Marketopia hereby excludes itself, its employees, and agents from all and any liability from
• Loss or damage caused by any inaccuracies
• Loss or damage caused by omission
• Loss or damage caused by delay or error, whether the result of negligence or other causes
• Loss or damage to clients' artwork/photos that have been supplied. Immaterial whether the loss or damage results from negligence or otherwise
